BBMF Co., Ltd.[a] stylized as Bbmf, was a company known for developing and publishing Java mobile games for platforms such as BREW, WAP, and SMS. The company also offered mobile karaoke, ringtones, and truetones.[2]

History

BBMF Corporation was initially incorporated on June 10, 1992, in the State of Nevada under the name Second Investors Group, Inc.[3] The company underwent several rebrandings: it changed its name to Progressive Environmental Recovery Corporation on June 19, 1998, and later to Worldwide Wireless Networks Inc. (WWNI) on March 5, 1999. WWNI subsequently changed its corporate name to eChex Worldwide Corp. (ECWC). ECWC was inactive prior to April 1, 2004.[4]

On January 27, 2004, BBMF Group Inc. was incorporated in the British Virgin Islands as a holding company for Kesrich (Hong Kong) Limited (Kesrich).[5] At the time of incorporation, BBMF Group held no assets or operations.[6] Kesrich focused on the development and distribution of mobile games and related digital content, such as ringtones. Its products were designed for platforms including J2ME, BREW, WAP, and SMS, with development operations based in Jiangsu Province, China.[7]

BBMF Group was initially owned entirely by Mr. Antony Ip Ren Haw[8] and Mr. Lian Yih Hann.[9] On February 25, 2004, pursuant to a board resolution, BBMF Inc., a separate British Virgin Islands company, subscribed for 98 newly issued shares of BBMF Group in exchange for $3.3 million in cash. On the same date, BBMF Group acquired the remaining two outstanding shares from Messrs. Ip and Lian for a total of $2.00. As a result, BBMF Inc. became the sole shareholder of BBMF Group.[10]

A significant corporate restructuring followed on April 1, 2004.[11] BBMF Group, BBMF Inc., and other parties entered into a share exchange agreement with ECWC. Under the terms of the agreement, ECWC issued 20 million newly issued shares of its common stock to BBMF Inc. in exchange for 100 percent of the 100 issued and outstanding ordinary shares of BBMF Group.[12] The transaction was accounted for as a reverse acquisition, with BBMF Inc. gaining control of the publicly listed entity.[13]

Following the reorganization, the company shifted its focus toward the mobile gaming market. On July 9, 2004, BBMF completed a private placement of shares, raising $1.14 million. Investors included Atlus Co., Ltd., which acquired shares at a price of $2.20 per share.[14] A second round of financing was completed on September 27, 2004, raising an additional $5.73 million. After the second round, Atlus held approximately 9.37% of the company’s outstanding shares.[15]

Also on September 27, BBMF executed a business acquisition agreement with Atlus. Under the terms of the agreement, BBMF acquired Atlus’s mobile content distribution business for ¥300 million.[16] The deal included an exclusive worldwide license to use Atlus’s game-related content, characters, and trademarks for mobile distribution.[17] It also included the transfer of four carrier-certified mobile content sites, enabling BBMF to distribute mobile applications directly to users in the Japanese market.[18]

On August 1, 2010, the company was renamed Menue Co., Ltd.[19] as it shifted its focus toward developing mobile applications for iPhone and Android platforms. It continued to produce games for the i-αppli platform until around 2011. In September 2014, the company was renamed Beaglee Co., Ltd., and its operations were refocused on providing a content platform that delivers digital media, including e-books and comics, to smartphone and tablet users. Beaglee primarily operates a manga distribution service called Manga Kingdom and also engages in distributing other creator-produced content through various services and projects.[20]
